Understanding SEC Insider Trading Signals

Insider trading — when corporate executives buy or sell their own company's stock — is one of the most closely watched signals in the financial markets. The SEC requires all corporate insiders (officers, directors, and 10%+ shareholders) to file Form 4 within two business days of any transaction.

Why Insider Buying Matters

While insiders sell stock for many reasons (diversification, taxes, personal expenses), they typically buy for only one reason: they believe the stock is undervalued. Academic research consistently shows that insider purchases outperform the market:

Why Insider Selling Also Matters

While insider selling is more common and often less informative than buying, large or unusual selling patterns can signal important information. When multiple C-suite executives sell significant portions of their holdings simultaneously, it may indicate concerns about the company's near-term prospects. Our screener now tracks both buys and sells to give you the complete picture.

How Our Screener Works

Our SEC Insider Trading Screener automatically fetches and parses Form 4 filings from the SEC EDGAR database. We capture both purchases and sales, enrich the data with current stock prices to calculate post-transaction performance, and rank transactions by conviction signals like transaction size and insider title.

Key Filters Explained

Buys Only / Sells Only: Filter to see exclusively insider purchases or sales. Large Transactions (>$100K): Filters for transactions where the insider moved more than $100,000, indicating serious conviction. CEO/CFO Only: C-suite executives have the deepest company knowledge, making their transactions the most informative signal for investors.
